There's no withholding of information here, I walk you through some of the most common questions one would have when trying to put a deal together i.e. what are indemnities, what to look out for in the representations and warranties section, how do you incorporate good termination clauses, what are some considerations when parties are located in different jurisdictions, what does a good venue clause look like? I wasn't taught any of this stuff in law school and although I went to a top tier school and even took negotiations at Wharton, I wasn't prepared to negotiate or draft a contract in the real world! What I am offering you, is years of accumulated experience from doing cross border transactions in both civil and common law jurisdictions from overseeing hundreds of companies in a multitude of industries. I take complicated issues and simplify them. I want you to walk away confident in reviewing or drafting your contract, but I don't stop there. I have spent weeks on preparing an ebook of supplemental material that is actually helpful. The ebook is filled with tid bits and sample clauses and pointers or "watch-outs". Whether you are an entrepreneur who wants to DIY drafting and reviewing contracts, fresh out of law school or someone who has to review contracts on the daily, there is no course like this out there, because I wrote this from the perspective of the old me, when I didn't know how to draft contracts, but had dozens of questions.
