Peter Parker struggles to balance his crime-fighting duties as Spider-Man with the demands of his normal life. He loses a job, faces financial difficulties, and struggles to maintain his physics studies at Columbia University. Parker is estranged from both love interest Mary Jane Watson, now a successful Broadway actress, and best friend Harry Osborn, who accuses Spider-Man of murdering his father Norman Osborn, who was secretly the supervillain Green Goblin. Parker's Aunt May is threatened with foreclosure, and Daily Bugle editor J. Jonah Jameson continues to denounce Spider-Man as a menace to New York City. As a result, Peter starts to think about giving up being Spider-Man, causing his powers to slowly stop working.

Harry, now head of Oscorp's research division, sponsors the research of brilliant nuclear scientist Otto Octavius, Peter's idol. Octavius, who dreams of perfecting fusion power, wears a harness of powerful robotic arms with artificial intelligence for an experiment in sustained fusion. Though the experiment becomes unstable, the arrogant Octavius refuses to halt it, with disastrous results: his wife is killed, the neural inhibitor chip which prevents the arms from influencing Octavius's own mind is fried by an electrical arc, and the arms are fused to his spine. Unconscious, he is taken to a hospital to have the appendages removed, but the tentacles develop their own ability to move at will and brutally kill the surgeons, and Octavius escapes. The tentacles corrupt Octavius' mind, exploiting his vanity and ego, and lead him to the resolution that he must complete his experiment regardless of the moral cost. To finance his work, Octavius—whom Jameson nicknames "Doctor Octopus" or "Doc Ock"—robs a bank, where he takes Aunt May hostage after she and Peter were trying to refinance her house. Spider-Man battles with Octavius, but struggles in the fight when his powers almost fail him. He manages to save Aunt May, but Octavius escapes with the stolen money.

During a party, Peter learns that Mary Jane is engaged to Jameson's son, renowned astronaut John Jameson, and gets into a fight with a drunken Harry over his loyalty to Spider-Man. As Octavius rebuilds his experimental reactor, Peter's powers remain unreliable. After a doctor tells him that his physical problems are due to mental stress, he gives up being Spider-Man to pursue a life of his own, which drastically improves from not having to devote any effort to helping others. During this time, Peter also begins to mend his relationship with Mary Jane, who is initially critical of his sudden desire to be friends again.

A garbage man brings Spider-Man's discarded costume to sell at the Bugle. Jameson takes credit for Spider-Man's disappearance, but later admits that he was indeed a hero, and the only person capable of stopping Octavius. Without Spider-Man, crime in the city rises approximately 75%. Peter realizes his need after watching a man get mugged, and attempts to remedy his inaction by saving a child from a burning building. He is further distraught after learning from the firefighters that another person was killed in the same fire. Aunt May advises Peter that sometimes it is necessary to sacrifice one's dreams for the greater good. Realizing that the city's need for Spider-Man is greater than his personal ambitions, Peter desires to become Spider-Man again.

The main villain in this film is Dr. Otto Octavius (Alfred Molina), who takes a turn for the diabolical following a failed experiment and the death of his wife. Using his mechanical tentacles, Octavius is dubbed "Doctor Octopus" and threatens to endanger the lives of the people of New York City.

The film was released in 2004 in the United States by Columbia Pictures, and received high acclaim from critics. It grossed over $783 million worldwide, and won the Academy Award for Best Visual Effects. The film's success led to the final sequel, Spider-Man 3.

In questo secondo episodio della saga dell'Uomo Ragno, il giovane Peter Parker si è trasferito in un piccolo appartamento situato nel centro di New York dove si mantiene agli studi con piccoli lavoretti, come il Pizza Express e il fotografo free-lance per il Daily Bugle.

Il suo amico Harry Osborn ha ereditato dal padre Norman (morto nel primo episodio nei panni del supercriminale Goblin) il pallino per il business della ricerca scientifica e finanzia il quasi premio Nobel dottor Otto Octavius nella ricerca sulla fusione a freddo. Mary Jane, l'amica del cuore di Peter anche lei a New York, tenta invece la strada del successo recitando in teatro e, vista l'indecisione di Peter a impegnarsi sentimentalmente, progetta un matrimonio con il pilota aerospaziale John Jameson, figlio del burbero direttore del Daily Bugle J. Jonah Jameson.

Tutto procede molto ordinariamente fino a che in seguito ad un incidente nel mezzo di una dimostrazione scientifica, alla quale assistono Peter ed Harry, il dottor Octavius rimane prigioniero dei quattro bracci meccanici di sua creazione collegati tramite un complesso sistema neurale alla sua mente. L'incidente ha conseguenze gravissime sulla psiche del dottore, come si desume dalla strage da lui compiuta degli infermieri che cercano di rimuovere le sue protesi biomeccaniche. Nel giro di poco tempo i tentacoli, irremovibili e non più tenuti a freno da uno speciale chip inibitore (distrutto nell'incidente), assumono il controllo del cervello del dottore, che diventa il supercriminale Doc Ock.

Il criminale fugge dalla città e si rifugia su una palafitta abbandonata nel porto di New York e decide di rapinare la banca della città per avere i soldi che userà per ricostruire il suo macchinario scientifico. La rapina procede bene, ma interviene Spider-man che nonostante abbia la vittoria in pugno e salvando zia May dal criminale, si fa scappare Doc Ock che fugge con molti milioni. Peter nota di avere dei problemi con i suoi superpoteri, che continuano a scomparire e ricomparire, perciò decide di buttare via il suo costume e di non essere più un supereroe. Anche senza poteri, salva una bambina da un incendio, rischiando la vita mentre il Daily Bugle trova il suo costume appendendolo come un trofeo, con grande gioia di Jameson. A causa dell'assenza di Spider-Man, il livello di criminalità a New York sale alle stelle.
